LICENSING AGREEMENT
is by and between:

I Do Builder (“IDB”), with a principal place of business at 124 Lincoln Avenue, Colonie, NY 12205

AND

WITNESSETH:
IDB

ONE: Provides the ultimate wedding planning solution.
TWO: Provides backend support complete with marketing materials and platform solutions.

THREE: Provides in-store marketing (at a cost to the licensee), digital ads, and commercials.

WHEREAS, The Company:

ONE: Sells rings to individuals seeking to get engaged/married.

TWO: Provides I Do Builder to said individuals.

THE PLATFORM & PREFERRED VENDOR NETWORK:

ONE: The I Do Builder platform connects couples with vendors part of the Preferred Wedding Network.

TWO: The vendor provides said individuals with deals, discounts, and/or added value through the

I Do Builder platform.

THREE: The deal, discount and/or added value is activated by clicking "I Do" on the platform.

A vendor network consists of 25-30 categories, at least 7-10 venues, and at least 3 other vendors in each category (about 75-200 vendors)

I agree to build a vendor network in my territory as defined above.

I agree that I Do Builder's representatives can call local wedding vendors as a direct representative of our store (If IDB is being used to help build your Wedding Network

LEADS:

ONE: Leads are delivered to the vendor, in real-time via email and the I Do Builder platform.

TWO: A fee is charged per lead.

FEES:

ONE: One-time setup licensing fee of $2,500.

(Waived if you sign up before 3/15/24)

TWO: $100 per vendor that IDB secures for licensee's

Revenue Split:

The licensee retains 55% of the revenue generated by selling leads to the vendors.

TERM AND TERMINATION:

This Agreement may be terminated as follows:
ONE: Anytime and for any reason immediately upon written notice.
TWO: Will automatically renew until a party terminates.
